1. Ownership and Intellectual Property

The Service, including all content, logos, badges, certificates, graphics, curriculum, rating criteria, directory data, trademarks, and other intellectual property, is owned and controlled by AI-Rated™ and protected under United States and international copyright and trademark laws.

No content on the Service may be reproduced, distributed, modified, publicly displayed, or used for commercial purposes without prior written permission from AI-Rated™.

You may not use the AI-Rated™ badge, claim certification, or imply affiliation, partnership, or endorsement unless you have received official written authorization from AI-Rated™.

2. Eligibility and Use of the Service

You must be at least 18 years old to access or use the Service.

You agree to use the Service only for lawful purposes and in compliance with applicable laws and these Terms. You agree not to:

• Misrepresent your business’s AI capabilities, certification status, or directory listing
  
• Attempt to obtain certification or access features through fraudulent or deceptive means
  
• Use the Service to transmit harmful code or disrupt functionality
  
• Reverse-engineer, copy, or attempt to recreate certification standards or systems
  

AI-Rated™ reserves the right to restrict or terminate access to the Service at our sole discretion.

3. AI-Rating Certification and Directory Listings

If you apply for AI-Rating™ certification, you may be required to submit business information, performance data, or other materials in support of your application.

By submitting information, you confirm that:

• All information provided is accurate and truthful
  
• You have the authority to provide such information on behalf of your business
  

Approved businesses may be publicly displayed in the AI-Rated™ directory and associated listings. AI-Rated™ reserves the right to:

• Approve, deny, suspend, or revoke certification at any time
  
• Remove or modify business listings if provided information is inaccurate or outdated
  
• Update rating criteria and certification standards without prior notice
  

Certification and ratings are provided for informational purposes only and do not guarantee performance or results.

4. Accounts and Security (Future Features)

Some current or future features of the Service may require creating a user account.

You are responsible for maintaining the confidentiality of any account credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use.

AI-Rated™ reserves the right to suspend or terminate accounts at our discretion, including for:

• Misrepresentation of AI-Rated™ certification
  
• Violation of these Terms
  
• Abuse of Service features or submission systems
  

Account features may be discontinued or modified at any time.

5. Third-Party Services and Links

The Service may contain links to third-party websites or services not owned or controlled by AI-Rated™. We do not assume responsibility for any content, privacy practices, or actions of third-party providers.

Use of third-party services is at your own risk.

6. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied.

AI-Rated™ does not guarantee:

• That certification will result in increased visibility, revenue, or customer outcomes
  
• That the directory, ratings, or analytics will be free from error or interruption
  
• The accuracy, completeness, or timeliness of any information provided by third parties
  

You assume full responsibility for your use of the Service.

7. Limitation of Liability

To the fullest extent permitted by law, AI-Rated™ shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to:

• Your use of or inability to use the Service
  
• Business decisions made based on certification, ratings, or visibility metrics
  
• Unauthorized access to your submissions or account (if applicable)
  

In no event shall AI-Rated™’s total liability exceed the amount, if any, paid directly by you to AI-Rated™ in the twelve (12) months prior to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless AI-Rated™ and its affiliates, officers, employees, licensors, and partners from any claims or damages arising from:

• Your use of the Service
  
• Submission of false or unauthorized information
  
• Violation of these Terms
  

9. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any dispute shall be resolved exclusively in courts located in Tennessee, United States.

10. Changes to the Terms

We may update these Terms from time to time. The most current version will always be posted on the Service with the effective date updated above.

Your continued use of the Service after changes are made constitutes acceptance of the revised Terms. You are encouraged to review these Terms periodically.
